Korean International Commercial Arbitration: KCAB Rules and Enforcement Guide for Foreign Companies
South Korea has become one of Asia's leading arbitration hubs. The Korea Commercial Arbitration Board (KCAB), established in 1966, administers thousands of domestic and international arbitration cases each year. For foreign companies operating in Korea — whether in manufacturing, technology, finance, or services — understanding how Korean arbitration works is essential to protecting your business interests.
This guide explains KCAB's international arbitration rules, how to draft effective arbitration clauses, how Korean courts interact with arbitration, and how to enforce foreign arbitral awards in Korea.
1. Legal Framework: The Korean Arbitration Act
Korea's primary arbitration statute is the Arbitration Act (중재법), most recently amended in 2016 to align closely with the UNCITRAL Model Law on International Commercial Arbitration. Key features include:
- Kompetenz-Kompetenz: Arbitral tribunals may rule on their own jurisdiction (Article 17).
- Separability: An arbitration clause is treated independently from the main contract (Article 17).
- Interim Measures: Both tribunals and courts may grant interim relief (Articles 18, 18-2 through 18-8).
- Grounds for Setting Aside: Limited to procedural irregularities, jurisdictional defects, or violations of public policy (Article 36).
- New York Convention: Korea ratified the Convention on the Recognition and Enforcement of Foreign Arbitral Awards (1958) with no reservations, making foreign awards readily enforceable.
2. KCAB: Korea's Premier Arbitration Institution
The KCAB operates two sets of rules: the Domestic Arbitration Rules and the International Arbitration Rules (KCAB International), last updated in 2016. The International Rules are designed for cross-border disputes and offer:
- Seat of arbitration: Seoul (default), with the possibility of choosing any city worldwide
- Language: English or Korean (parties may choose)
- Panel: 1 or 3 arbitrators drawn from KCAB's international panel of 300+ experts
- Expedited procedure for claims under USD 500,000
- Emergency arbitrator provisions (Article 39)
- Consolidation of related proceedings
KCAB International has resolved disputes involving parties from over 50 countries. Filing fees and administrative fees are generally lower than ICC or SIAC, making KCAB cost-competitive for mid-size disputes.
3. Drafting an Effective Arbitration Clause for Korea
KCAB's recommended model clause for international disputes is:
"Any dispute, controversy or claim arising out of or relating to this contract, or the breach, termination or validity thereof, shall be finally settled by arbitration in accordance with the International Arbitration Rules of the Korean Commercial Arbitration Board. The number of arbitrators shall be [one/three]. The seat of arbitration shall be Seoul, Korea. The language of the arbitration shall be [English/Korean]."
Practical tips:
- Specify the number of arbitrators to avoid disputes at the outset.
- State the governing law separately from the arbitration clause (e.g., "This Agreement shall be governed by the laws of the Republic of Korea").
- For large-value contracts, consider specifying expedited rules or a timeline.
- Avoid "split clauses" that send some disputes to courts and others to arbitration — Korean courts may find these ambiguous.
4. The Arbitration Process: Step by Step
Step 1: Filing the Request for Arbitration
The claimant files a Request for Arbitration with KCAB, paying the filing fee. The Request must include the names and addresses of the parties, the arbitration agreement, a summary of the dispute, and the relief sought.
Step 2: Constitution of the Tribunal
Each party nominates an arbitrator (in three-arbitrator proceedings). The two party-nominated arbitrators then select the chair. If parties cannot agree, KCAB appoints. KCAB maintains lists of over 300 international arbitrators.
Step 3: Written Submissions
Parties exchange Statements of Claim and Defense, followed by Replies. Discovery in Korean arbitration is narrower than U.S. litigation — typically document production only, not depositions.
Step 4: Hearing
The tribunal holds an evidentiary hearing, usually 2–5 days for complex matters. Witnesses and experts testify. Unlike Korean court proceedings (which can take years), KCAB International cases typically conclude within 18–24 months.
Step 5: Award
The tribunal renders a written, reasoned award. Under the KCAB International Rules, the tribunal must render the award within 45 days of the close of proceedings (subject to extension).
5. Interim Measures and Emergency Arbitrator
The 2016 amendments to the Arbitration Act introduced robust interim measure rules. A party may apply to:
- The arbitral tribunal for interim measures including asset freezes, injunctions, and evidence preservation orders (Article 18).
- A Korean court for provisional attachments (가압류, 가처분) before or during arbitration — Korean courts generally support arbitration and rarely refuse such requests.
- An Emergency Arbitrator under KCAB International Rules Article 39, who may grant urgent relief within days of appointment.
6. Court Intervention: When and How
Korean courts play a supportive role in arbitration. Under the Arbitration Act:
- Stay of litigation: If one party commences litigation on an arbitrable dispute, the other may apply to the court to stay proceedings in favor of arbitration (Article 9).
- Appointment assistance: Courts may assist in constituting the tribunal if parties cannot agree (Article 12).
- Enforcement of awards: A party must apply to a Korean court for enforcement of a domestic or foreign arbitral award (Articles 37, 39).
- Setting aside: Applications to annul awards are heard by district courts. Grounds are narrow and Korean courts rarely set aside KCAB awards.
7. Enforcing Foreign Arbitral Awards in Korea
As a New York Convention signatory, Korea recognizes and enforces foreign awards from 170+ contracting states. Procedure:
- File an enforcement application (집행판결 청구) with the competent Korean district court.
- Submit the original award and arbitration agreement (with certified Korean translation).
- The court conducts a limited review — it does not re-examine the merits.
- Enforcement may be refused only on grounds listed in Article V of the New York Convention (e.g., lack of proper notice, excess of jurisdiction, violation of Korean public policy).
- Timeline: Typically 3–6 months for uncontested enforcement; 12–18 months if the debtor contests.
Korean courts have a strong track record of enforcing foreign awards. Notable recent cases include enforcement of ICC, SIAC, LCIA, and AAA awards without difficulty.
8. KCAB vs. Other Arbitration Institutions: Comparison
| Feature | KCAB International | ICC | SIAC |
|---|---|---|---|
| Filing fee (USD 1M dispute) | ~USD 8,000 | ~USD 30,000 | ~USD 15,000 |

Frequently Asked Questions (FAQ)
Q1: Can foreign companies choose non-Korean law as the governing law in a KCAB arbitration?
Yes. KCAB International Rules allow parties to freely choose the substantive law governing the dispute. Common choices include English law, New York law, and Swiss law. The tribunal applies the chosen law unless it conflicts with Korean mandatory rules (e.g., consumer protection laws for domestic consumers). If no law is chosen, the tribunal applies the law it determines most appropriate.
Q2: Is a Korean witness compelled to testify in international arbitration?
Arbitral tribunals cannot compel witnesses — only courts can issue subpoenas. However, under the Arbitration Act (Article 28), a tribunal may request assistance from Korean courts to take evidence, including compelling witness testimony. In practice, most witnesses in commercial disputes participate voluntarily.
Q3: What is the cost of KCAB International arbitration for a USD 5 million dispute?
Roughly estimated: KCAB administrative fees approx. USD 30,000–50,000; arbitrator fees approx. USD 100,000–200,000 (three-arbitrator panel); legal fees vary widely but typically USD 200,000–500,000 per side for a contested hearing. Total all-in cost per party: approximately USD 300,000–700,000 depending on complexity.
Q4: Can a Korean court refuse to enforce a KCAB award?
Under the Arbitration Act Article 38, enforcement of a domestic award may be refused on limited grounds: the arbitration agreement is invalid, a party lacked capacity, proper notice was not given, the award exceeds the scope of the arbitration agreement, the tribunal was not properly constituted, or enforcement violates public policy. Korean courts apply these grounds narrowly and enforcement refusals are rare.
Q5: How do I enforce a KCAB award against a Korean company's assets abroad?
KCAB awards are recognized under the New York Convention in 170+ countries. Once you obtain a KCAB award, you file for recognition in the country where the debtor's assets are located (e.g., a U.S. federal court, a UK court, a Singapore court). No Korean court involvement is required for enforcement abroad. You should, however, obtain a Korean enforcement judgment if you also wish to attach Korean assets.
Q6: What happens if the counterparty ignores the arbitration and commences litigation in Korea?
Under Arbitration Act Article 9, a party may apply to the Korean court to stay the litigation and refer the matter to arbitration. Korean courts routinely grant such stays when a valid arbitration agreement exists. The court stay does not affect the arbitration proceedings, which may continue in parallel.
Q7: Are arbitral awards from North Korean entities enforceable in South Korea?
This is a complex question. South Korea does not recognize North Korea as a separate state. Enforcement depends on the specific circumstances and the applicable bilateral investment framework. In practice, there has been minimal case law on this issue. Foreign companies should seek specialized counsel before entering contracts with DPRK entities.
