Korean Serious Accidents Punishment Act (SAPA) Compliance Guide for Foreign Employers
South Korea's Serious Accidents Punishment Act (중대재해 처벌 등에 관한 법률, "SAPA"), enacted on January 26, 2021 and fully in force from January 27, 2022, represents one of the most significant workplace safety reforms in Korean legal history. Unlike the predecessor Occupational Safety and Health Act (OSHA, 산업안전보건법), SAPA introduces personal criminal liability for chief executives (CEOs) and organizational leaders when a serious workplace accident occurs. For foreign-invested companies operating in Korea, understanding and building a robust SAPA compliance program is now an existential legal imperative — not merely a best-practice recommendation.
This comprehensive guide explains who SAPA applies to, what constitutes a "serious accident," the duties it imposes, the penalties for non-compliance, and how foreign employers can implement a compliant safety management system in Korea.
1. Background and Legislative Purpose
SAPA was legislated in response to a series of high-profile industrial fatalities in Korea, most notably the death of a young contract worker at a conveyor belt at a power plant in 2018 (the "Kim Yong-gyun case"). The statute's stated purpose is to prevent recurrence of serious industrial accidents and to hold decision-makers — not just frontline supervisors — criminally accountable when workers die or suffer grave injuries due to systemic safety management failures.
SAPA operates in parallel with the existing OSHA framework but addresses a higher level of accountability: it targets persons with managerial decision-making authority (경영책임자등) rather than only site-level safety managers.
2. Scope of Application
2-1. Enterprises Covered
SAPA applies to:
- All businesses with 5 or more employees (as of January 27, 2024 — originally, businesses with fewer than 50 employees had a grace period until this date)
- Both Korean and foreign-invested companies operating in Korea
- Companies in any industry sector, including manufacturing, construction, logistics, and services
Crucially, if a foreign parent company exercises actual managerial control over a Korean subsidiary's safety system, the foreign parent's executives may also be implicated under SAPA's broad "managerial decision-maker" definition.
2-2. Two Categories of Serious Accidents
SAPA distinguishes two types of serious accidents:
| Category | Definition | Threshold |
|---|---|---|
| Industrial Serious Accident (중대산업재해) | Accidents at workplaces causing death or serious injury to workers | 1 death, 2+ injured with 6-month+ treatment needed, or 3+ with 3-day+ absence |
| Civil Serious Accident (중대시민재해) | Accidents involving public products or facilities harming the general public | 1 death, 10+ injured seriously, or 10+ with 3-day+ treatment |
This guide focuses primarily on industrial serious accidents, which are the most common concern for foreign employers in Korea.
3. Duties Imposed on "Managerial Decision-Makers" (경영책임자등)
SAPA Article 4 imposes four categories of safety and health management obligations on the person with managerial responsibility — defined as the CEO, a director in charge of safety, or a person exercising equivalent authority:
- Establish and implement a safety and health management system (안전보건관리체계 구축·이행): This requires written safety policies, hazard assessment procedures, clear allocation of safety duties, an emergency response plan, and annual safety management audits.
- Fulfill obligations under relevant statutes: Comply with all applicable safety and health laws (OSHA, Industrial Accident Compensation Insurance Act, etc.) and promptly remedy any violations identified by inspectors.
- Manage accidents at contractors and sub-contractors: If the company controls the work environment, it must extend its safety oversight to contractors and subcontractors working on its premises.
- Allocate sufficient human resources and budget: The executive must ensure that adequate personnel are assigned to safety management and that sufficient budget is provided for safety equipment and training.
4. Criminal Penalties
SAPA's penalty structure is notably severe by international standards:
| Violation | Individual (CEO/Executive) | Corporate Entity |
|---|---|---|
| Worker death due to safety management failure | Imprisonment ≥ 1 year or fine ≥ KRW 100 million (≈ USD 75,000) | Fine ≤ KRW 5 billion (≈ USD 3.75 million) |
| Worker serious injury (not death) | Imprisonment ≤ 7 years or fine ≤ KRW 100 million | Fine ≤ KRW 1 billion |
| Repeat violation within 5 years | Penalty doubled | Penalty doubled |
Notably, imprisonment terms for death-causing violations have a mandatory minimum of 1 year — a feature rarely seen in Korean corporate legislation. Suspended sentences are possible but depend on prosecutorial discretion and judicial assessment of compliance efforts.
5. Employer Duties vs. OSHA: A Comparison
| Aspect | OSHA (산업안전보건법) | SAPA (중대재해처벌법) |
|---|---|---|
| Primary target | Business owners, safety managers | CEO / Managerial decision-maker |
| Focus | Specific safety rules and standards | Systemic safety management framework |
| Corporate fine cap | KRW 100 million | KRW 5 billion |
| Individual liability | Up to 7 years imprisonment | Min. 1 year for death (no suspension-only option without compliance showing) |
| Contractor coverage | Primarily direct employer | Extended to contractors/subcontractors if worksite controlled |
6. How to Build a SAPA-Compliant Safety Management System
Foreign companies should implement the following steps:
Step 1: Appoint a Responsible Executive
Designate a specific executive as the "managerial decision-maker" under SAPA. If the CEO is located abroad, consider appointing a Korean-resident COO or equivalent with full authority over Korean operations' safety.
Step 2: Conduct a SAPA Gap Analysis
Assess current safety management practices against SAPA's four duty categories. Identify gaps in written policies, hazard assessments, contractor management protocols, and budget allocation.
Step 3: Establish Written Safety Policies and Procedures
Draft a Safety and Health Management Regulation (안전보건관리규정) tailored to Korean law. This document must be reviewed annually and approved by the CEO.
Step 4: Implement a Contractor Safety Management Protocol
Foreign companies frequently overlook the contractor dimension of SAPA. Require all contractors working on your premises to submit safety plans, undergo pre-work safety briefings, and report accidents to your safety management team immediately.
Step 5: Allocate Safety Budget and Personnel
Document safety budget allocations in board minutes or executive directives. Appoint at least one dedicated safety manager per OSHA requirements (thresholds vary by headcount and industry).
Step 6: Conduct Annual Safety Management Audits
SAPA requires annual self-evaluation of the safety management system. This audit should be conducted by an independent internal or external auditor and results reported directly to the CEO.
Step 7: Create an Emergency Response Plan
Establish a documented emergency response protocol specifying immediate reporting procedures (within 24 hours to MOEL), worker support measures, and management escalation paths.
7. SAPA Enforcement in Practice: Key Cases
Since SAPA's full enforcement from January 2022, Korean prosecutors have been increasingly aggressive in pursuing SAPA cases. Notable enforcement trends include:
- Construction sector: The highest number of SAPA investigations have occurred in construction, where fatalities from falls and structural collapses are most common.
- CEO indictments: Multiple CEOs of mid-sized companies have been indicted, though acquittals have occurred where robust compliance systems were demonstrably in place.
- MOEL on-site inspections: The Ministry of Employment and Labor (MOEL) conducts post-accident inspections within 48 hours of any serious accident report. Inspectors review safety management records, CEO approval of safety policies, and contractor oversight protocols.
8. Special Considerations for Foreign-Invested Companies
8-1. Extraterritorial Reach
If a foreign parent company's headquarters issues safety directives that bind the Korean subsidiary — or if the Korean subsidiary's CEO is a foreign national stationed abroad — Korean prosecutors may investigate whether the foreign executive exercised de facto managerial responsibility over the Korean worksite's safety system.
8-2. Language and Documentation
All SAPA-required documentation (safety policies, audit reports, contractor agreements) must be maintained in Korean and readily available for MOEL inspection. Dual-language documentation is advisable but the Korean version is controlling.
8-3. Group Company Structures
In Korean conglomerate (chaebol) or group company structures, a holding company's executives may be found to exercise "managerial decision-making authority" over a subsidiary's safety system. Foreign holding company executives should be aware that their involvement in Korean subsidiary governance may expose them to SAPA liability.

Frequently Asked Questions (FAQ)
Q1: Does SAPA apply to a foreign company with fewer than 50 employees in Korea?
Yes. As of January 27, 2024, SAPA applies to all businesses with 5 or more employees in Korea. The previous 50-employee threshold for the grace period has expired. Small foreign-invested offices and representative offices with 5+ workers must comply.
Q2: Can a foreign CEO living outside Korea be prosecuted under SAPA?
In principle, yes. SAPA applies to the "person with managerial responsibility" over the Korean worksite. If a foreign CEO exercises actual control over Korean safety management — for example, by approving or dictating safety policies for the Korean entity — they may be deemed a "managerial decision-maker" subject to SAPA liability. Korean courts assess the substance of authority, not just the title or location.
Q3: What happens immediately after a serious accident occurs?
The employer must: (1) immediately stop work and remove workers from danger; (2) report the accident to MOEL within 24 hours (accidents resulting in death must be reported immediately by phone); (3) preserve the accident scene for MOEL inspection; and (4) cooperate fully with the MOEL investigation. Failure to report promptly is itself a separate violation of OSHA.
Q4: How can a company demonstrate compliance to reduce criminal exposure?
Korean prosecutors and courts give significant weight to: (i) existence of a written and board-approved safety management system; (ii) evidence of CEO engagement with safety matters (meeting minutes, approvals, training attendance); (iii) documented contractor safety oversight; and (iv) prior safety audit results. A strong paper trail is essential — it is often the difference between prosecution and non-prosecution.
Q5: Are civil damages available to injured workers separate from SAPA criminal penalties?
Yes. Under Korea's Civil Act and Industrial Accident Compensation Insurance Act (산업재해보상보험법, IACIA), injured workers or their families may seek civil damages from the employer independent of any SAPA criminal prosecution. The IACIA provides government-administered workers' compensation, but employers may face additional civil tort claims beyond the statutory schedule.
Q6: Does SAPA cover accidents involving remote work or telecommuting employees?
SAPA Article 2(1) defines "serious industrial accident" in the context of "workplace" (사업장). MOEL guidance suggests that the employer's duty of care extends to work performed at the employer's direction, which may cover work-from-home injuries in certain circumstances. This remains an evolving area of interpretation.
Q7: Is there an industry-specific variation in SAPA duties?
While SAPA's four core duties apply universally, the Ministry of Employment and Labor has issued industry-specific guidelines (for construction, manufacturing, transportation, etc.) that provide detailed benchmarks for compliance. Foreign companies should review the applicable MOEL sector guidance and KOSHA technical standards for their specific industry.
