Foreign Legal Consultant (FLC) Licensing and Foreign Law Firm Establishment in Korea
Korea's legal services market has gradually opened to foreign lawyers and law firms since the Korea-U.S. and Korea-EU Free Trade Agreements. Under the Foreign Legal Consultant Act (외국법자문사법), qualified foreign attorneys may register as Foreign Legal Consultants (FLCs) and operate Foreign Legal Consultant Offices (FLCOs) in Korea, providing advice on the law of their home jurisdiction while being restricted from practicing Korean domestic law or appearing before Korean courts.
This article explains who qualifies as an FLC, the registration process with the Ministry of Justice and Korean Bar Association, permissible scope of practice, joint venture (JV) options with Korean law firms, and the practical realities international attorneys and law firms face when entering the Korean market.
1. What Is an FLC and Who Qualifies?
An FLC is a foreign-qualified attorney who has obtained a license through examination or admission in an "Original Jurisdiction" (e.g., a U.S. state bar, England and Wales, or an EU member state with which Korea has a relevant agreement), has at least three years of practical legal experience in that jurisdiction, and has been approved by the Ministry of Justice following review by the Korean Bar Association's FLC Qualification Screening Committee.
2. Registration Procedure
- Submit an FLC qualification application to the Ministry of Justice with proof of bar admission, good standing certificate, and experience documentation.
- Pass review by the Korean Bar Association Screening Committee.
- Obtain Ministry of Justice approval and FLC registration certificate.
- Register an FLCO (Foreign Legal Consultant Office) with the Korean Bar Association, or join an existing FLCO/JV.
3. Permissible and Prohibited Activities
FLCs may advise on the law of their Original Jurisdiction and public international law, draft documents governed by foreign law, and represent clients in foreign-seated international arbitration. FLCs are prohibited from advising on Korean domestic law, appearing in Korean courts, or employing Korean-licensed attorneys directly (absent an approved JV structure).
4. Joint Ventures with Korean Law Firms
Since Phase 3 liberalization (2016), FLCOs meeting capital and experience thresholds may form a Joint Venture (합작법무법인) with a Korean law firm, allowing a combined practice that covers both foreign and Korean law under a single brand, subject to profit-sharing caps and revenue ratio rules monitored by the Ministry of Justice.
Frequently Asked Questions (FAQ)
Q1: Can a U.S. attorney open a solo office in Seoul without a Korean partner?
Yes — a qualified FLC may establish a standalone FLCO, but it cannot provide Korean law advice or litigate in Korean courts without partnering with Korean-licensed attorneys through an approved JV.
Q2: How long does FLC registration take?
Typically 3-6 months from application to Ministry of Justice approval, depending on document completeness and committee review schedules.
Q3: Do FLCs need a separate work visa?
Yes, foreign attorneys require an appropriate visa (commonly E-7 or D-8 depending on structure) in addition to FLC registration.
Q4: Which jurisdictions currently qualify for FLC status in Korea?
Jurisdictions with reciprocal agreements including the United States (most states), United Kingdom, Australia, Canada (several provinces), France, and other EU member states are generally eligible, subject to Ministry of Justice designation.
Q5: What are the penalties for unauthorized practice of Korean law?
Unauthorized practice of law by unregistered foreign attorneys can result in criminal penalties, fines, and revocation of FLC status under the Attorney-at-Law Act and the FLC Act.
Q6: Can an FLCO hire Korean paralegals or staff?
Yes, FLCOs may hire support staff, but Korean-licensed attorneys may only be employed within an approved JV structure, not directly by a standalone FLCO.
Q7: How does Korea's FLC system compare to Japan's Gaikokuho Jimu Bengoshi (GJB) system?
| Feature | Korea (FLC) | Japan (GJB) |
|---|---|---|
| Minimum experience | 3 years | 3 years (typically) |
| JV with local firms | Permitted since 2016 (Phase 3) | Permitted (Gaikokuho Kyodo Jigyo) |
| Court appearance | Not permitted | Not permitted |
