Korean Franchise Disclosure Obligations: 2024 Amendments and What Foreign Franchisors Must Know

The franchise sector in South Korea is one of the largest and most dynamic in the world, with over 7,000 registered franchise brands and more than 280,000 franchise outlets operating across the country. For foreign franchisors seeking to enter or expand in the Korean market — through direct franchising, master franchise agreements, or area development arrangements — compliance with Korea's franchise disclosure regime is a legal prerequisite that carries significant liability risk if mishandled.

Korea's primary franchise statute is the Fair Transactions in Franchise Business Act (가맹사업거래의 공정화에 관한 법률, hereinafter "FTFBA"), administered by the Korea Fair Trade Commission (KFTC). The FTFBA was substantially amended in 2024, introducing new pre-sale disclosure obligations, enhanced franchisee protection measures, and updated information disclosure document (IDD) requirements. This article provides a comprehensive legal analysis of Korea's franchise disclosure framework, the 2024 amendments, and practical guidance for foreign franchisors.

1. Overview of the FTFBA Framework

The FTFBA governs all aspects of franchise relationships in Korea, from initial disclosure and registration to ongoing operational standards, renewal, and termination. Key regulatory pillars include:

  • Information Disclosure Document (IDD) requirement: Franchisors must prepare and register an IDD with the KFTC before soliciting franchisees (FTFBA Article 7).
  • Mandatory disclosure period: The IDD must be provided to a prospective franchisee at least 14 days before the franchise agreement is signed or any payment is received (FTFBA Article 7(2)).
  • KFTC registration: The IDD must be registered with the KFTC and updated annually or whenever material changes occur (FTFBA Article 6-2).
  • Good faith obligation: Franchisors must not engage in deceptive or unfair acts toward franchisees; violations may constitute grounds for contract rescission and damages.
  • Franchisee association recognition: Franchisors with 100 or more franchisees must recognize and negotiate with a properly formed franchisee association (FTFBA Article 14-2).

2. Information Disclosure Document (IDD): Required Contents

Under FTFBA Articles 6 and 7 and implementing regulations, the IDD must contain the following information categories:

  1. Franchisor information: Corporate name, address, registration details, list of executives, litigation history, financial statements for the past three years.
  2. Brand information: Trademark registration details, pending litigation over the trademark, history of the franchise system.
  3. Franchise fees and costs: Initial franchise fee, royalties, advertising fund contributions, equipment purchase requirements, estimated initial investment range.
  4. Outlet information: Total number of outlets, newly opened and closed outlets by year for the past three years, average sales figures (optional but recommended under 2024 amendments).
  5. Territorial protection: Whether exclusive territory is granted, conditions for territory modification.
  6. Training and support: Pre-opening training curriculum, ongoing support services, requirements for franchisee personnel.
  7. Supply and purchasing: Designated supplier policies, restrictions on franchisee purchasing, pricing policies.
  8. Renewal and termination: Conditions for contract renewal, termination grounds, exit procedures, non-compete obligations.
  9. Dispute resolution: Available dispute resolution mechanisms, including KFTC mediation.

3. Key 2024 FTFBA Amendments

The 2024 amendments to the FTFBA introduced several significant changes that franchisors operating in Korea must implement:

3.1 Enhanced Pre-Sale Financial Disclosure

Effective from January 2024, franchisors must now disclose average sales revenue per franchisee outlet in the IDD, broken down by region and outlet size category where available. Previously, this was optional. The disclosure must include:

  • Median and average annual sales of franchisee outlets for the past three years.
  • Percentage of outlets meeting or exceeding average sales.
  • Methodology used to calculate sales figures.

Franchisors that provide inaccurate or misleading sales projections face liability for damages under FTFBA Article 9 and potential criminal penalties of up to KRW 30 million under Article 43.

3.2 Expanded Protected Period for New Franchisees

The 2024 amendments extended the "protected period" (보호기간) during which a franchisor cannot open a competing company-owned or franchisee-owned outlet within a specified radius of an existing franchisee's territory. Key changes:

  • Protected period extended from 3 years to 5 years for new franchise agreements signed after January 1, 2024.
  • Radius protection standards updated to reflect updated commercial density guidelines.
  • Franchisors must obtain written consent from affected franchisees before opening within the protected zone, even after the protected period expires.

3.3 Strengthened Termination and Non-Renewal Protections

The 2024 amendments strengthened franchisee rights at contract expiry:

  • Advance notice obligation: Franchisors must notify franchisees of non-renewal at least 180 days (previously 90 days) before contract expiry (FTFBA Article 13(4) as amended).
  • Compensation for goodwill: Franchisees may claim compensation for customer goodwill upon non-renewal if they have operated for 5 or more years and are not at fault for non-renewal.
  • Post-termination supply obligation: Franchisors must continue supplying goods and services to franchisees for up to 30 days post-termination to allow for wind-down operations.

3.4 Digital and Online Franchise Disclosure

The 2024 amendments explicitly recognize electronic delivery of IDDs through KFTC's approved digital platform. Franchisors may now provide IDDs electronically, provided that the franchisee acknowledges receipt via electronic signature. Paper IDDs remain valid.

4. KFTC Registration Process for Foreign Franchisors

Foreign franchisors entering the Korean market must register their IDD with the KFTC before soliciting franchisees. The registration process involves:

  1. Establishing a Korean entity or appointing a master franchisee: Foreign franchisors typically enter Korea through a Korean entity (subsidiary or branch) or a master franchisee. The IDD registrant must be the Korean entity or master franchisee.
  2. Preparing the IDD in Korean: The IDD must be in Korean. Foreign franchisors must have all documentation translated and notarized.
  3. Filing with KFTC: The IDD is filed online through the KFTC's franchise information system Processing typically takes 30–60 days.
  4. Annual renewal: The IDD must be updated and re-filed with KFTC within 4 months of the close of each fiscal year.

5. Prohibited Conduct Under the FTFBA

Foreign franchisors must be aware of prohibited conduct that can trigger KFTC investigations and penalties:

  • False or misleading IDD: Providing inaccurate financial data, outlet counts, or sales projections in the IDD (FTFBA Article 9).
  • Premature contract signing or payment collection: Collecting franchise fees or deposits before the 14-day cooling-off period expires (FTFBA Article 7).
  • Unilateral contract modification: Modifying franchise agreement terms without franchisee consent (FTFBA Article 11).
  • Forced purchase or exclusive supply obligations: Requiring franchisees to purchase from designated suppliers at above-market prices, unless disclosed in the IDD (FTFBA Article 12).
  • Interference with franchisee association: Obstructing formation or activities of a franchisee association (FTFBA Article 14-2(5)).

6. Penalties for Non-Compliance

Violation Administrative Penalty Criminal Penalty
Failure to register IDD Up to KRW 100 million corrective order Up to 2 years / KRW 15 million
False or misleading IDD Contract rescission + KRW 30 million fine Up to 2 years / KRW 30 million
Premature fee collection Mandatory refund + surcharge Up to 1 year / KRW 10 million
Territory violation (new outlet) KFTC corrective order + surcharge Civil damages to franchisee
Failure to notify non-renewal (180 days) Mandatory renewal obligation Civil damages to franchisee

Frequently Asked Questions (FAQ)

Q1: Does the FTFBA apply to foreign franchisors that operate only through a master franchise arrangement?

Yes, but the primary FTFBA compliance burden falls on the master franchisee (the Korean entity that grants sub-franchises to individual Korean franchisees). However, the foreign franchisor's original franchise agreement with the master franchisee is also subject to Korean law to the extent that the master franchisee operates in Korea. Foreign franchisors should ensure that their master franchise agreements comply with FTFBA principles, including disclosure, territorial protection, and termination provisions.

Q2: Can a foreign franchisor conduct a pilot operation in Korea before formal KFTC registration?

A foreign franchisor may operate up to 2 company-owned (direct operation) outlets in Korea before registering an IDD with KFTC. This allows a limited pilot operation period. Once the franchisor seeks to grant franchises to third parties, IDD registration becomes mandatory. Exceeding 2 company-owned outlets may trigger FTFBA obligations even without franchisee solicitation in some interpretations.

Q3: What is the "14-day cooling-off period" and how is it calculated?

Under FTFBA Article 7(2), a franchisor must provide the IDD to a prospective franchisee at least 14 calendar days before: (i) signing the franchise agreement, or (ii) receiving any payment (including deposits or franchise fees). If the IDD is updated after initial provision, the 14-day period restarts from the date of the updated IDD. The KFTC strictly enforces this requirement; premature fee collection can render the franchise agreement voidable by the franchisee.

Q4: How does the 2024 amendment's "goodwill compensation" obligation work?

Under the 2024 amendments, a franchisee who has operated for 5 or more years and is not at fault for non-renewal (e.g., the franchisor declines to renew despite the franchisee's compliance with all obligations) may claim compensation for "customer goodwill" (영업권 보상). The compensation amount is determined by negotiation or KFTC mediation. This provision introduces a quasi-goodwill payment concept analogous to commercial agency termination compensation under the EU Commercial Agents Directive, though the Korean framework applies specifically to franchise relationships.

Q5: Are there any exemptions from FTFBA disclosure requirements for small or new franchise systems?

The FTFBA provides limited exemptions for small franchise systems with fewer than 10 total outlets (domestic and international combined). In practice, most foreign franchisors entering Korea already exceed this threshold. Additionally, the KFTC has clarified that even single-brand franchise systems with only one Korean franchisee are generally subject to full FTFBA obligations.

Q6: What dispute resolution options are available for franchise disputes in Korea?

Franchise disputes in Korea can be resolved through: (1) KFTC mediation (가맹사업거래분쟁조정협의회) — free, non-binding mediation through the KFTC's Franchise Transaction Dispute Mediation Council; (2) Korea Commercial Arbitration Board (KCAB) arbitration if the franchise agreement contains an arbitration clause; (3) Korean court litigation in commercial courts. Foreign franchisors frequently prefer arbitration to avoid uncertainty in Korean court proceedings, but KFTC mediation is widely used for smaller disputes.

Q7: Must the franchise agreement be governed by Korean law?

While parties may agree to foreign law as the governing law in a franchise agreement, Korean courts will apply mandatory FTFBA provisions regardless of the chosen governing law if the franchise is operated in Korea (FTFBA Article 3). This means that FTFBA provisions on disclosure, territorial protection, termination, and franchisee association rights cannot be contracted out — even if the franchise agreement nominates foreign law or a foreign forum.

  2. 以韩语准备IDD(所有文件须翻译并经公证)。
