How to Sue a Korean Company: A Practical Guide for Foreign Businesses

By Attorney NOH UJIN | HANBYOL LAW LLC, Seoul
📋 Korean Law Insight | Cross-Border Litigation

Introduction

If your company has a commercial dispute with a Korean entity — whether it's unpaid invoices, breach of contract, intellectual property infringement, or fraud — you may need to file a lawsuit in South Korea. This guide provides a practical overview of the process, costs, and strategies.

1. Jurisdiction: Where Can You Sue?

Under Korean law, foreign parties can file civil lawsuits in Korean courts. The Korean Civil Procedure Act (민사소송법) governs jurisdiction. Key rules:

  • General jurisdiction: File where the defendant's principal office is located
  • Special jurisdiction: File where the obligation was to be performed (e.g., where goods were to be delivered)
  • Tortious acts: File where the tort occurred

Korean courts will accept jurisdiction if the defendant is a Korean company or if the dispute has substantial connections to Korea.

2. Pre-Lawsuit Considerations

Demand Letter (내용증명우편)

Before filing, send a formal demand letter via registered mail:

  • Specify the claim amount, legal basis, and payment deadline
  • Provides evidence of good-faith effort to resolve the dispute
  • May prompt settlement without litigation

Evidence Collection

Gather all relevant documents:

  • Contracts, purchase orders, invoices
  • Emails, chat logs, meeting notes
  • Proof of delivery, payment records
  • Witness statements

Cost-Benefit Analysis

  • Court fees: Approximately 0.5% of claim amount
  • Attorney fees: Typically 10–20% of the claim (contingent or hourly)
  • Timeline: 12–24 months for trial; longer if appeals are filed
  • Enforceability: Can the defendant pay? Do they have attachable assets?

3. Filing the Lawsuit

Step 1: Prepare the Complaint (소장)

The complaint must include:

  • Parties: Plaintiff and defendant names, addresses, registration numbers
  • Claim: Specific monetary amount or requested action
  • Facts: Detailed narrative of the dispute
  • Legal basis: Applicable laws and contract provisions
  • Evidence: List and attach supporting documents

Step 2: File with the Court

  • Court selection: District court (지방법원) for claims over ₩30 million; small claims court for smaller amounts
  • Language: All documents must be in Korean; translations required for foreign-language evidence
  • Filing fee: Based on claim amount (approximately 0.5%)

Step 3: Service on Defendant

The court serves the complaint on the defendant. Service methods:

  • Personal service
  • Service by mail (registered)
  • Service by publication (if defendant cannot be located)

4. The Litigation Process

First Hearing (첫 변론기일)

  • Scheduled 2–3 months after filing
  • Judge reviews the complaint and defendant's answer
  • Parties present preliminary arguments

Evidence Submission (증거 제출)

  • Parties exchange documents and witness lists
  • Korean courts do not have extensive discovery like U.S. courts
  • Document production orders available but limited

Trial Hearings (변론)

  • Typically 3–5 hearings over 6–12 months
  • Witnesses testify; expert reports may be submitted
  • Judge may order mediation at any stage

Judgment (판결)

  • Judge issues written judgment
  • Either party may appeal within 14 days to the High Court
  • Appeals add 12–18 months to the process

5. Provisional Remedies

Provisional Attachment (가압류)

If you fear the defendant will hide or dissipate assets:

  • File a petition for provisional attachment before or during trial
  • Court freezes defendant's bank accounts or property
  • Requires showing a prima facie case and risk of dissipation

Preliminary Injunction (가처분)

For urgent relief (e.g., stopping IP infringement):

  • File for preliminary injunction
  • Court can order immediate cessation of infringing activity
  • Faster than full trial (2–4 months)

6. Enforcement of Judgment

Once you win the judgment:

  • Voluntary compliance: Defendant may pay within the judgment period (typically 14 days)
  • Compulsory execution: If defendant doesn't pay, file for enforcement (강제집행)
  • Asset attachment: Court can seize bank accounts, real property, inventory, or accounts receivable
  • Auction: Attached property is sold at court auction; proceeds distributed to creditors

7. Alternative Dispute Resolution

Mediation (조정)

  • Korean courts encourage mediation before or during trial
  • Faster and cheaper than litigation
  • Mediated agreements are enforceable like judgments

Arbitration (중재)

  • Korean Commercial Arbitration Board (KCAB)
  • Faster than courts (6–12 months)
  • Confidential proceedings
  • Enforceable internationally under New York Convention

8. Common Challenges for Foreign Plaintiffs

Language Barrier

  • All pleadings, evidence, and hearings are in Korean
  • Hire local counsel with English proficiency

Evidence in Foreign Languages

  • Must be translated by certified translators
  • Translation costs can be significant for large document sets

Limited Discovery

  • Unlike U.S. litigation, Korean courts do not allow broad discovery
  • Parties must rely on documents in their possession

Lengthy Process

  • Korean civil litigation takes 1–2 years on average
  • Appeals can add another 1–2 years

9. Cost Breakdown

ItemEstimated Cost
Court filing fee0.5% of claim amount
Attorney fees (retainer)₩5–20 million
Attorney fees (contingency)10–20% of recovery
Translation costs₩100,000–500,000 per document
Expert witness fees₩2–10 million
Total estimated cost₩10–50 million (depending on complexity)

10. Practical Tips

  • Hire experienced local counsel: Korean litigation requires specialized knowledge
  • Preserve evidence early: Gather and organize all documents before filing
  • Consider settlement: Litigation is slow and expensive; settlement may be more practical
  • Use provisional remedies: Protect your interests by freezing assets early
  • Understand cultural differences: Korean courts favor mediation and compromise

Cómo Demandar a una Empresa Coreana: Una Guía Práctica para Empresas Extranjeras

Por el Abogado NOH UJIN | HANBYOL LAW LLC, Seúl
📋 Perspectiva Legal Coreana | Litigios Transfronterizos

2. Consideraciones Pre-Demanda

Carta de Demanda(内容证明邮件)

  • Base legal: Leyes y disposiciones contractuales aplicables

4. El Proceso de Litigio

Primera Audiencia(첫 변론기일)

Presentación de Evidencia(증거 제출)

Audiencias de Juicio(변론)

Sentencia(판결)

5. Remedios Provisionales

Embargo Provisional(가압류)

Mandato Judicial Preliminar(가처분)

  • Solicitar mandato judicial preliminar

  • Ejecución obligatoria: Si el demandado no paga, solicite ejecución(강제집행)

7. Resolución Alternativa de Disputas

Mediación(조정)

Arbitraje(중재)

  • Junta de Arbitraje Comercial de Corea (KCAB)
  • Más rápido que los tribunales (6-12 meses)
  • Procedimientos confidenciales
